Terms of Service.

In these terms, "XEROWAIT", "we", "our" and "us" refer to XEROWAIT, a software service operated from Karachi, Pakistan. "You", "your" and "customer" refer to the individual or organisation that opens an account and subscribes to a paid plan. "Service" means the XEROWAIT platform, including the customer engagement tools, AI assistants, dashboards and APIs we publish at xerowait.com and its subdomains. "Customer Data" means any data, content, or material that you, your end users or your customers submit to the Service.

To use the Service you must create an account and provide accurate, current information. You are responsible for keeping your credentials private and for all activity that happens under your account. Notify us immediately at security@xerowait.com if you suspect unauthorised access. You must be at least 18 years old to open an account. If you open an account on behalf of a company, you represent that you have the authority to bind that company to these terms.

We grant you a non exclusive, non transferable, revocable licence to access and use the Service in line with these terms and your subscription tier. You may use the Service only for lawful business purposes and only within the limits described on our pricing page (such as monthly AI reply caps, document allowances and seat counts). Some features depend on third party services like Shopify, WhatsApp Business or LiveKit, and their availability is subject to those providers' own terms.

Paid subscriptions are billed in Pakistani Rupees at the price published on our pricing page on the date you subscribe. Monthly plans renew every month and yearly plans renew every twelve months until cancelled. Payments are processed by our payment provider (currently Lemon Squeezy) and may also be routed through local Pakistani gateways such as JazzCash or Easypaisa for buyers in Pakistan.

If a payment fails we will retry for up to seven days before suspending the account. Overage fees, where applicable (for example AI replies above the monthly cap), are billed on the first day of the next billing cycle. All fees are exclusive of any taxes, levies or duties imposed by tax authorities, and you are responsible for paying them.

First time subscribers on any monthly plan are covered by a 7 day money back guarantee. If the Service does not work for you in your first week, write to billing@xerowait.com within seven days of your first charge and we will refund the full amount with no questions asked. Yearly plans can be cancelled mid term and we will pro rate a refund for the unused months. We do not refund overage fees, custom integration work, or Enterprise contract minimums.

XEROWAIT and all parts of the Service, including the software, source code, interfaces, models we have fine tuned, prompts, logos and brand marks, remain our exclusive property. We reserve every right not expressly granted to you in these terms. You may not copy, modify, reverse engineer, scrape, or resell any part of the Service. Any feedback you send us about the Service is given without confidentiality obligations and we may use it without owing you compensation.

You own your Customer Data. By using the Service, you grant us a worldwide licence to host, process, transmit and display that data only as needed to operate and improve the Service for you. We will never sell your Customer Data, and we will never train shared AI models on it. We process your data in line with our Privacy Policy.

You are responsible for the lawfulness of the data you put into the Service, including any consents you must obtain from your end customers under applicable laws (for example PECA in Pakistan, GDPR for EU residents, or the Telecommunication Consumer Protection Regulations).

You agree not to use the Service to:

• Send spam, phishing or unsolicited bulk messages.
• Distribute malware, exploits or any code intended to harm.
• Impersonate any person or organisation, or misrepresent who is sending an AI reply.
• Process content that promotes hate, violence, child sexual abuse material, or activity that breaks Pakistani law.
• Attempt to disrupt the Service, probe its infrastructure, or exceed published rate limits in bad faith.
• Resell the Service to a third party without a written reseller agreement signed by us.

We may suspend or terminate accounts that violate this section without notice if continued use creates a risk to other customers or to the Service itself.

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of your then current billing cycle. We may suspend or terminate your account if you breach these terms in a way that is material and not fixed within ten days of written notice, or immediately if your use is unlawful or threatens the integrity of the Service. On termination, your right to use the Service ends immediately. We will keep your Customer Data available for export for thirty days after termination, after which we will permanently delete it from production systems.

The Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, free of bugs, or that any AI generated reply will be accurate or fit for a specific purpose. AI outputs are probabilistic. You are responsible for reviewing critical replies (refund decisions, legal advice, medical questions, shipping commitments) before they reach a customer. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non infringement.

To the maximum extent permitted by law, XEROWAIT's aggregate liability arising out of or related to these terms will not exceed the total fees you paid us in the twelve months immediately before the event giving rise to the claim. In no case will XEROWAIT be liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, lost revenue, lost data or goodwill, even if we were advised of the possibility of such damages.

You agree to defend, indemnify and hold harmless XEROWAIT, its officers, directors, employees and agents from any claims, damages, losses or costs (including reasonable legal fees) arising out of your Customer Data, your use of the Service in breach of these terms, or your violation of any law or third party right.

These terms are governed by the laws of the Islamic Republic of Pakistan, without regard to its conflict of laws rules.

Before filing a claim, both parties agree to try to resolve the dispute informally for at least thirty days. If that fails, the dispute will be settled by arbitration in Karachi, Pakistan, under the Arbitration Act, 1940. The seat of arbitration will be Karachi and the language will be English. Either party may seek injunctive relief from the courts of Karachi where appropriate.

We may update these terms from time to time. If a change is material we will notify you by email at least thirty days before it takes effect. Continued use of the Service after the effective date means you accept the updated terms. If you do not agree, you may cancel before the effective date and we will pro rate any unused subscription time.
